These Terms of Service ("Terms") govern your access to and use of the website located at infraredthermal.com (the "Website"), as well as any products, software, mobile applications, training programs, calibration services, technical support, documentation, reports, and related services provided by Infrared Cameras & Instruments ("ICI," "we," "us," or "our").

By accessing or using the Website, purchasing our products or services, attending our training programs, or using any ICI software, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use our Website, products, software, or services.

1. Eligibility

You represent and warrant that you are at least eighteen (18) years of age and possess the legal authority to enter into these Terms on your own behalf or on behalf of the organization you represent.

If you use our Website, products, or services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Definitions

For purposes of these Terms:

  • "Products" means all infrared cameras, instruments, hardware, accessories, firmware, software, and related equipment sold or provided by ICI.
  • "Services" means all calibration services, training programs, certifications, technical support, consulting, repair services, and other professional services provided by ICI.
  • "Content" means all text, graphics, images, videos, software, reports, documentation, training materials, calibration certificates, technical information, and other materials available through the Website or Services.
  • "User," "you," and "your" refer to any individual or entity accessing or using the Website, Products, or Services.

3. Orders, Pricing, and Payment

All orders are subject to acceptance by ICI. We reserve the right to refuse or cancel any order at our sole discretion.

Prices, product specifications, availability, and service offerings are subject to change without notice.

You agree to provide accurate and complete billing, shipping, and payment information.

Unless otherwise stated, all prices are exclusive of applicable taxes, duties, shipping charges, customs fees, and other governmental assessments, which are your responsibility.

Payment terms for approved commercial accounts shall be governed by separate written agreements.

4. Shipping, Delivery, and Risk of Loss

Delivery dates are estimates only and are not guaranteed.

Risk of loss and title for Products pass to you upon delivery to the carrier, unless otherwise required by applicable law or expressly agreed in writing.

You are responsible for inspecting Products upon receipt and notifying ICI promptly of any shipping damage, shortages, or defects.

5. Returns and Refunds

Returns, exchanges, and refunds are subject to ICI's then-current return policies, which may require prior authorization.

Products returned without prior authorization may be refused.

Certain Products and Services, including customized equipment, calibration services, training programs, software licenses, and digital content, may be non-refundable except as required by applicable law.

6. Intellectual Property

All Content is owned by or licensed to ICI and is protected by applicable intellectual property laws, including copyright, trademark, trade secret, and patent laws.

No rights, title, or interest in any Content are transferred to you except as expressly stated in these Terms.

You may not, without our prior written consent:

  • Copy, reproduce, modify, distribute, publish, display, transmit, or create derivative works from any Content;
  • Remove or alter any proprietary notices;
  • Record, reproduce, or distribute any training sessions or training materials;
  • Share, disclose, or distribute examination materials, certification content, calibration reports, or proprietary technical documentation.

All trademarks, logos, service marks, and trade names are the property of ICI or their respective owners.

7. Software License and Restrictions

Any software, firmware, mobile applications, or digital tools provided by ICI are licensed, not sold.

Subject to these Terms, ICI grants you a limited, non-exclusive, non-transferable, revocable license to use such software solely in connection with authorized use of ICI Products and Services.

Except to the extent prohibited by applicable law, you shall not:

  • Reverse engineer, decompile, disassemble, or attempt to derive source code;
  • Modify, adapt, or create derivative works;
  • Circumvent security features or technical limitations;
  • Rent, lease, sublicense, distribute, or otherwise transfer software to third parties.

8. Acceptable Use

You agree to use the Website, Products, and Services in compliance with all applicable local, state, federal, and international laws and regulations.

You shall not:

  • Use the Website in a manner that disrupts or interferes with its operation;
  • Access systems or data without authorization;
  • Introduce malicious code or harmful technologies;
  • Use Products or Services for unlawful, fraudulent, or unauthorized purposes.

9. Product Use and User Responsibilities

You are solely responsible for determining whether any Product or Service is suitable for your intended application.

  • Follow all operating instructions, safety notices, and maintenance recommendations;
  • Ensure that personnel operating Products are appropriately trained and qualified;
  • Verify all measurements, thermal data, analyses, and conclusions independently;
  • Maintain and recalibrate equipment at recommended intervals;
  • Use Products only within specified operating conditions.

ICI Products and Services are not intended for use in life-support systems, emergency response systems, medical diagnosis, patient care, nuclear facilities, aviation safety systems, or other mission-critical applications unless expressly approved in writing by ICI.

10. Training and Certification

Participation in training programs does not guarantee certification, employment, competency, or regulatory compliance.

Certification requirements, course content, testing procedures, and qualification criteria may change without notice.

You are responsible for ensuring compliance with all applicable industry standards, employer requirements, and regulatory obligations.

11. Calibration and Technical Services

Calibration results, inspection findings, technical support, and other Services are based on information available at the time Services are performed and are subject to stated tolerances, limitations, and assumptions.

Unless expressly stated otherwise in writing, calibration certificates and reports do not constitute guarantees of future performance or suitability for any specific application.

You are responsible for verifying the continued accuracy and fitness of all equipment and data for your intended use.

12. Export Compliance

You agree to comply with all applicable export control, sanctions, and trade laws and regulations, including those administered by the United States government.

You shall not export, re-export, transfer, or provide any Products, software, technical data, or Services in violation of applicable laws or regulations.

13. Privacy

Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN WARRANTY OR SERVICE AGREEMENT, THE WEBSITE, PRODUCTS, SERVICES, SOFTWARE, AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED AVAILABILITY.

ICI DOES NOT WARRANT THAT PRODUCTS OR SERVICES WILL IDENTIFY, DETECT, OR PREVENT ALL CONDITIONS, DEFECTS, FAILURES, OR HAZARDS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES.

ICI SHALL NOT BE LIABLE FOR ANY CLAIMS ARISING FROM:

  • Your interpretation or use of thermal data or inspection results;
  • Failure to detect defects, anomalies, or hazardous conditions;
  • Regulatory or compliance decisions;
  • Improper installation, operation, maintenance, or calibration;
  • Unauthorized modifications to Products or software.

ICI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to defend, indemnify, and hold harmless ICI and its officers, directors, employees, affiliates, agents, and representatives from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use or misuse of the Website, Products, or Services;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your infringement of any third-party rights.

17. Force Majeure

ICI shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, supply chain disruptions, transportation delays, cyberattacks, telecommunications failures, pandemics, or other force majeure events.

18. Termination

We reserve the right to suspend or terminate your access to the Website, software, training programs, or Services at any time for violation of these Terms or applicable law.

Sections that by their nature should survive termination shall remain in effect following termination.

19. Modifications to These Terms

We may modify these Terms from time to time.

Any changes will become effective upon posting the updated Terms on the Website and will apply prospectively to future use of the Website, Products, and Services.

Your continued use following the effective date of revised Terms constitutes acceptance of those changes.

20. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Jefferson County, Texas, and you consent to the personal jurisdiction of such courts.

21. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms, together with any applicable written warranty, purchase agreement, software license agreement, service agreement, or Privacy Policy, constitute the entire agreement between you and ICI regarding the subject matter herein.
